Software License Agreements
Technology companies commercialize their software through software license agreements. These end-user license agreements (EULAs) establish a user’s right to use and access the software in a manner such that the company can maintain the company-end user relationship. A business may grant the end user the right to perform certain actions such as installing the software, accessing the software, and using the software. Such user installation, access and use may be limited to single processor and business machine or for multiple processors and multiple business machines. The scope of the software license can vary depending on the nature of the software.
Software license agreements may also prohibit users from modifying or sharing the software. For instance, the agreement may prohibit reverse engineering the software or copying the software for third parties. Finally, the software license agreement may often disclaim a warranty of performance or limit liability for damages which could result from the performance of the software. These license terms and conditions are provided to the end-user through a shrink-wrap software licensing agreement or a click-wrap software licensing agreement. A shrink-wrap software license is agreed to by the user when it breaks the seal of a package. A click-wrap license is when the software requires the user to agree to certain terms and conditions before the software becomes usable.
