What is Trade Secret Protection?

Trade secret protection refers to the legal measures taken to safeguard confidential information or business secrets that give a company a competitive advantage. It involves protecting proprietary information that is not generally known to the public, such as formulas, processes, techniques, customer lists, and other non-public information. Unlike patents or trademarks, trade secrets do not require registration with government agencies, but they must be kept secret and maintained as such to qualify for protection.

Unlike most forms of intellectual property, trade secrets are not registrable or subject to public disclosure for federal protection. NDAs are legally binding contracts that safeguard confidential material, knowledge, or information shared between parties. They are typically used with employees, vendors, and any other parties who may gain access to the trade secret.

In these agreements, one party, often an employee, agrees not to use knowledge acquired during their employment with the business to compete with the business. Such agreements can help protect a business in the event of a trade secret disclosure by an employee who later leaves the company.
