Intellectual Property Indemnification & Indemnity Agreements

Indemnification clauses pertaining to intellectual property are commonly included in agreements between parties who wish to transfer the risk of loss. Such clauses typically address risks associated with patent infringement, trademark infringement, copyright infringement, trade secret misappropriation, software-related issues, or other types of intellectual property (IP) risks.

An indemnity clause may solely provide indemnification, or it may also impose the obligation to "defend" and/or "hold harmless" the other party. In essence, an indemnification clause requires one party to provide compensation to the other party for any losses or damages that are covered by the indemnity clause.

Apart from indemnification for intellectual property, an agreement could feature a hold harmless clause as a means of transferring risk. A hold harmless provision typically stipulates that a party is not accountable for specific damages outlined in the agreement.
